Board of Directors' tasks
The board's tasks and role are regulated by law. This is well described in NUE's recommendations for good corporate governance.
Nevertheless, there is often a need to push boundaries between the board and day-to-day management. It is important to find the right balance between control and development. An imbalance here can hinder the board from contributing to value creation for the company. Another important theme is collaboration and acting as a collegiate body. Typical measures identified in a board development process are to ensure that all board members contribute, that the composition of the board is based on the company's goals and strategies, that the board has a common understanding of the company's ambitions and that ownership and corporate governance work. Not least, it is important that the board supports the CEO, rather than putting spokes in the wheels.
